**CARTNTRADE TERMS OF USE**
**ACCEPTANCE OF THE TERMS**
These Terms of Use (the "Terms") form a binding and enforceable legal contract between Cartntrade.com, its affiliated companies (collectively referred to as the "Administrator," "we," "us") and you. Please read these Terms carefully.
Your access to and use of the Cartntrade.com website and mobile applications, along with any services, content, and data provided through them (together, the "Service" or "Platform"), are governed by these Terms.
If you disagree with any part of these Terms or are not eligible or authorized to be bound by them, do not access or use the Service.
Additionally, please review our Privacy Policy. The terms of the Privacy Policy and any other supplemental terms, rules, policies, or documents posted on the Platform from time to time are incorporated herein by reference. We reserve the right to modify these Terms at any time, with or without prior notice, at our sole discretion.
**POSTING OF ANNOUNCEMENTS BY USERS**
A user must provide any documents requested by the Administrator to confirm the legitimacy of their posted announcements, including identity verification documents when required.
Users posting announcements related to the sale of goods or services must provide accurate and complete details about the items or services, including terms and conditions of sale. Notably, the phone number associated with each announcement must be reachable, which means it should be capable of receiving messages and the user must be available to answer calls promptly. Failure to maintain a reachable and functional phone number may result in temporary suspension of the user's announcements.
The terms and conditions set by the user for the sale of goods or provision of services must comply with these Terms and applicable laws.
Prices for goods or services must be accurate. If the price changes due to specific circumstances, this must be clearly stated in the announcement.
When uploading a YouTube video through the YouTube API Services provided by the Administrator, you agree to be bound by YouTube’s Terms of Service, available at: https://www.youtube.com/t/terms.
When uploading a Facebook video via the Facebook Embedded Video & Live Player functionality provided by the Administrator, you agree to comply with the Meta Platform Terms available at https://developers.facebook.com/terms/ and Facebook’s Terms of Service available at https://www.facebook.com/terms.php.
**FEES**
The Platform is generally free; however, certain paid services may apply. For example, there may be restrictions on publishing announcements in specific categories or options to advertise announcements on the Platform.
If you choose to use paid services on multiple accounts, you are eligible to register more than one account, provided each account is used for separate paid services.
Fees for paid services and accepted payment methods are clearly disclosed on the Platform.
We reserve the right to adjust the fees and acceptable payment methods at our discretion, at any time and for any reason.
Unless specified by applicable law, fees are non-refundable due to the nature of online services.
Payments for services are subject to the Billing Policy available at: [Billing Policy URL].
**USER REPRESENTATIONS AND WARRANTIES**
By using the Service, you represent and warrant that:
- You have the legal capacity to comply with these Terms;
- If registering on behalf of a company, you are authorized to bind the company to these Terms;
- You are over 18 years of age;
- You have provided accurate, true, and complete information in your Account and will keep it up to date;
- You will change your Account access details immediately if you suspect unauthorized access;
- You will notify the Administrator of any unauthorized access to your Account;
- You will not provide false or misleading information about your identity or location;
- You will comply with applicable laws, regulations, rules, and guidelines when using the Service;
- You will not use the Service for illegal or unauthorized purposes;
- You will not post announcements offering prohibited items ([Prohibited Items URL]);
- You will not post announcements infringing on the rights or interests of others, including intellectual property rights;
- You will not post announcements that:
- Contain false or misleading statements;
- Include personal information about minors or others without proper consent;
- Contain pornographic or sexual materials;
- Promote illegal or unsafe use of weapons or dangerous objects;
- Defame, discriminate, or harass others;
- Advocate hate, violence, racism, or discrimination;
- Promote illegal activities or prostitution;
- Advertise counterfeit, pirated, or stolen goods;
- Refer to competing websites or platforms;
- Include unsolicited commercial emails or spam;
- Interfere with the normal operation of the Platform;
- Use software that disrupts or negatively impacts the Platform’s functionality;
- Collect personal data without consent;
- Distribute malware or harmful software;
- You own the legal title to the items you are selling and have the necessary rights to offer, advertise, or distribute them legally.
**INDEMNITY**
You agree to indemnify and hold the Administrator, its affiliates, and partners harmless from any claims or demands, including costs and legal fees, arising from:
(i) your use of the Platform;
(ii) your User Content;
(iii) your violation of these Terms;
(iv) your violation of applicable laws or regulations;
(v) any transaction entered into via the Platform or breach of such transaction terms.
The Administrator reserves the right to take exclusive control of any legal matter for which you must indemnify us, at your expense, and you agree to cooperate with our defense.
**LIMITATION OF LIABILITY**
In no event shall we (or our affiliates) be liable for any lost profits or any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Service, or third-party ads, even if we were advised of the possibility of such damages. Your access to and use of the Service and third-party ads are at your own risk, and you will be solely responsible for any damage to your system or loss of data.
The Administrator’s total liability to you for any claims related to your use of the Service is limited to the lesser of the amount you paid for services in the six (6) months preceding the claim.
**INTELLECTUAL PROPERTY RIGHTS**
The Administrator does not claim ownership of any intellectual property rights in the registration information or User Content you submit. However, you grant the Administrator a non-exclusive, worldwide, transferable, perpetual, irrevocable license to use, copy, modify, adapt, store, publish, distribute, publicly display, and perform the User Content in connection with the Service.
You agree not to use the Service in ways that infringe on the intellectual property rights of others.
The content on the Platform, except User Content, including texts, software, graphics, and logos ("Materials"), and trademarks ("Marks"), are owned by or licensed to the Administrator. Unauthorized use of these Materials and Marks is prohibited.
If you believe your intellectual property rights are being infringed on the Platform, you may file a claim with the Administrator by providing relevant documentation and a legal basis for your complaint.
**SERVICE**
The Platform is an online service that allows users to post and view announcements, and to communicate with other users.
The Administrator is not an importer, manufacturer, distributor, seller, or provider of any goods or services posted by users. The sale or service contracts are directly between the users, with the Administrator acting only as a facilitator for communication.
Users are responsible for collecting and remitting any applicable taxes related to their sales.
The Administrator may delete or block access to announcements if required by authorities, in cases of intellectual property infringement, or violations of laws or these Terms.
The Administrator has the right to modify the Service at any time, with or without notice, and is not responsible for any impact on your access to the Service, including the deletion of content.
Users are responsible for their own User Content, and the Administrator does not guarantee its accuracy, currency, or quality. We assume no responsibility for any User Content.
The Service may contain links to third-party websites, services, or advertisements ("Third Party Ads"). The Administrator is not responsible for the content or accuracy of these Third Party Ads and does not endorse or make representations about them. Any transactions or dealings with third parties are solely between you and the third party.
You release the Administrator and its affiliates from any claims, losses, or damages arising from your interactions with other users or any third-party ads.
**GOVERNING LAW AND JURISDICTION**
These Terms will be governed by applicable laws. Any disputes arising from these Terms will be resolved by arbitration in accordance with the Arbitration and Conciliation Act (Cap. A18). Arbitration will take place in a mutually agreed location, and the proceedings will be in English.
**MISCELLANEOUS PROVISIONS**
If any provision of these Terms is found to be invalid or unenforceable, it will not affect the validity of the remaining provisions.
We reserve the right to transfer or assign our rights and obligations under these Terms to any other party, with your consent.
Failure to act on any breach of these Terms does not waive our right to enforce them in the future.
**CONTEST RULES**
In accordance with local tax legislation, the Company will apply a withholding tax to any award you may receive. You acknowledge that you are responsible for any taxes related to the award, which may exceed the amount withheld by the Company.
